Service Agreement
Effective date: October 10, 2026
This Service Agreement states the general operating terms for digital marketing, web development, consulting and independently provided remote IT services. A signed statement of work defines the scope for each engagement.
1. Scope of work
Each project should identify its services, deliverables, milestones, prerequisites, contacts, fees and any exclusions in a written scope. Work or features beyond that scope require a separately approved change request.
L4RG is an independent service provider unless an express written relationship states otherwise; brand names mentioned in service requests do not indicate an affiliation or endorsement.
2. Customer responsibilities
Clients must provide timely decisions, accurate specifications, rights to the provided content, necessary environment access, backups, and relevant approvals. Clients must tell us when restricted, regulated, or sensitive systems are involved.
Remote access requires permission from the system owner or duly authorized administrator. The client can end access according to the agreed remote-support procedure.
3. Delivery and acceptance
The written statement of work sets completion criteria, review milestones, and the method for submitting concerns. Client feedback should identify measurable differences from the agreed deliverables, not simply a change in preferences.
Unless specifically promised, L4RG cannot guarantee search rankings, ad approvals, sales, platform uptime, or the outcome of third-party investigations.
4. Fees, remedies and 24-day review
Service payments are non-refundable as a general policy, including time reserved, assessments, consultations, digital work, and work already begun or delivered. Exceptions apply where a refund is required by applicable law, expressly promised in the signed order, or appropriate for a duplicate or erroneous charge. This policy does not restrict non-waivable statutory rights, lawful charge disputes, or remedies for nonperformance.
Clients should report a concern about completed services in writing within 24 calendar days after delivery or completion, describing the original scope, the issue, and supporting details. We will review timely reports and, where the work materially differs from the written agreed scope, may provide a reasonable correction, additional troubleshooting, or another appropriate non-cash remedy. The 24-day reporting period does not eliminate rights or deadlines that cannot legally be waived.
Reasonable corrective action will be directed toward material deviations from the agreed scope; major changes or additional features may need a separate quote. Contract-specific remedies or applicable law take precedence.
5. Confidentiality, systems and data
Each party should protect confidential business information received from the other and use it only for authorized purposes. The parties should document requirements for regulated data, account access, retention, and deletion where relevant.
Client data remains subject to applicable privacy obligations and any separately executed data-processing terms. L4RG should be given the minimum access needed to perform approved work.
6. Intellectual property
Ownership and licensing of websites, marketing materials, source code, credentials, accounts, fonts, stock images and other deliverables follow the written agreement and applicable third-party licenses. Pre-existing tools and reusable frameworks remain with their respective owners unless expressly assigned.
7. Change requests, suspension and termination
Project changes should be documented with updated scope, costs and timing. A party may suspend work where required by law, system security, nonpayment under an accepted agreement, or a serious material breach, subject to required notice and cure provisions.
Any termination charges, refund exceptions, record handoff duties or transition support must comply with the written scope and applicable law.
8. Disputes and contact
The parties should first attempt good-faith resolution using the documented project history and deliverables. No informal website statement waives non-waivable consumer rights.
